These Terms of Service are a legal agreement governing access to and use of MagicPub. They should be read together with the Privacy Policy, any subscription checkout terms, and any separate written agreement signed by MagicPub.
Important summary
These Terms of Service, together with the Privacy Policy and any order form, subscription checkout page, product-specific notice, data-processing addendum, business associate agreement, or other written agreement signed by MagicPub that expressly references these Terms, form a legally binding agreement between you and MagicPub. By creating an account, clicking a checkbox, accessing the website, using the application, starting a free trial, purchasing a subscription, uploading content, generating a publication, using a referral code, or otherwise using the Services, you agree to these Terms.
If you use the Services on behalf of a company, institution, laboratory, university, hospital, clinic, government agency, publisher, sponsor, principal investigator, research group, or other organization, you represent that you have authority to bind that organization and that "you" includes both you and that organization. If you do not have that authority, or if you do not agree to these Terms, you may not use the Services.
You may not use the Services if you are barred from doing so under applicable law, are located in a sanctioned jurisdiction, are under 18 years old, or are otherwise unable to form a binding contract. Parents, guardians, institutions, and organizations are responsible for use by anyone they allow to access an account.
MagicPub may update these Terms from time to time. We will not rely on hidden or retroactive changes to obtain artificial consent to materially different data practices. If a change is material, we will use reasonable efforts to provide notice, such as by posting the updated Terms, updating the effective date, showing an in-product notice, or sending an email to the address associated with your account.
Your continued use of the Services after updated Terms become effective means you accept the updated Terms, except where applicable law requires a different form of consent. If you do not agree to updated Terms, you must stop using the Services and, if applicable, cancel your subscription before the change takes effect.
MagicPub may add, remove, suspend, limit, rebrand, redesign, modify, or discontinue any feature, model, plan, quota, integration, provider, workflow, referral program, pricing offer, beta feature, endpoint, or part of the Services at any time, subject to any mandatory rights you have under applicable law or a separate signed agreement.
MagicPub is an AI-assisted publication workflow platform that helps users draft medical, scientific, and research-oriented manuscripts and related materials. The Services may include prompt intake, manuscript generation, citation discovery, reference formatting, PubMed-style citation checks, uploaded-material analysis, editing tools, export tools, subscription and billing features, referral features, account management, dashboards, file-storage views, and related current or future tools.
The Services use software, automated systems, large language models, literature-search tools, citation-processing tools, databases, third-party APIs, hosting providers, payment processors, authentication services, and other vendors. Provider availability, model behavior, search indexes, rate limits, and API terms may change without notice.
MagicPub may label, package, rename, preview, test, or withdraw features as Muggle, Wizard, DragonHeart, Dragon Spells, beta, early access, experimental, unlimited, trial, promo, or similar names. Those labels are product descriptions, not guarantees that a feature will always exist or be available without limits.
All content generated, transformed, summarized, cited, formatted, suggested, ranked, extracted, or otherwise produced through the Services is an AI-assisted draft. AI systems and literature-search tools can produce inaccurate, incomplete, outdated, biased, fabricated, misattributed, misleading, or unsuitable output. They can omit important limitations, overstate findings, hallucinate references, misread uploaded materials, confuse study populations, misstate statistical methods, or generate language that is not appropriate for a journal, reviewer, regulator, patient, clinician, institution, funder, or coauthor.
You are solely responsible for reviewing, editing, validating, fact-checking, cite-checking, source-checking, plagiarism-checking, authorship-checking, disclosure-checking, conflict-of-interest-checking, statistical-checking, ethics-checking, and legal-checking all outputs before relying on them, sharing them, submitting them, publishing them, or incorporating them into any manuscript, abstract, poster, grant, protocol, clinical document, marketing material, regulatory filing, or other work product.
MagicPub does not guarantee that any publication, manuscript, abstract, title, claim, citation, PMID, DOI, reference, figure legend, table, journal suggestion, response to reviewers, or other output is accurate, complete, current, original, non-infringing, accepted by any journal, compliant with any style guide, compliant with any journal policy, clinically appropriate, statistically sound, ethically sufficient, or fit for any particular purpose.
The Services are software tools. They do not provide medical advice, clinical decision support, diagnosis, treatment, prevention guidance, patient-specific recommendations, legal advice, regulatory advice, tax advice, accounting advice, research-ethics advice, IRB advice, publication-ethics advice, authorship determinations, peer-review determinations, or professional services.
You must consult qualified professionals and applicable institutional, journal, funder, sponsor, regulatory, and legal requirements before using any output in a clinical, research, publication, compliance, contractual, regulatory, financial, or professional context. The Services are not a substitute for professional judgment.
No output from the Services creates a physician-patient relationship, attorney-client relationship, fiduciary relationship, reviewer-author relationship, sponsor-investigator relationship, publisher-author relationship, or any similar professional relationship with MagicPub or its providers.
You are responsible for complying with all laws, regulations, journal policies, institutional policies, funder requirements, sponsor requirements, clinical-trial requirements, IRB or ethics-board requirements, data-use agreements, authorship standards, disclosure rules, conflict-of-interest rules, publication-ethics standards, plagiarism rules, image-manipulation rules, statistical-reporting rules, and AI-use disclosure obligations that apply to your work.
You may not use the Services to fabricate data, studies, patient cohorts, p-values, effect sizes, images, tables, references, author contributions, reviewer comments, funding sources, conflicts of interest, institutional approvals, trial registrations, informed consents, disclosures, peer-review histories, editorial decisions, or any other research or publication artifact.
You may not present AI-assisted output as wholly human-generated where disclosure is required, omit required AI-use disclosures, misrepresent authorship, submit content that violates a journal or institutional policy, use MagicPub to hide misconduct, or use the Services to create deceptive, fraudulent, defamatory, unsafe, or misleading research communications.
User Content means prompts, abstracts, manuscripts, drafts, notes, tables, datasets, images, charts, slides, PDFs, spreadsheets, documents, files, citations, references, account information, feedback, metadata, and any other information or material that you submit, upload, import, paste, type, generate, edit, store, transmit, or make available through the Services.
You represent and warrant that you have all rights, permissions, consents, licenses, authorizations, approvals, and lawful bases needed to submit User Content to the Services and to permit MagicPub and its providers to process that User Content as described in these Terms and the Privacy Policy. You are solely responsible for User Content and for any consequences of submitting, processing, exporting, sharing, or publishing it.
You may not upload or submit content that infringes intellectual-property rights, violates confidentiality obligations, violates data-use restrictions, violates patient privacy, violates contractual obligations, violates export controls, contains malware, circumvents security controls, or is unlawful, harmful, deceptive, harassing, defamatory, obscene, discriminatory, or otherwise objectionable.
Unless MagicPub has signed a separate written business associate agreement, data-processing addendum, enterprise agreement, or other written agreement expressly authorizing the relevant use, the Services are not intended for protected health information, electronic protected health information, patient-identifying information, direct identifiers, indirect identifiers that can reasonably identify a patient, special-category data, sensitive personal information, student records, controlled technical data, regulated government data, trade secrets, or confidential third-party information.
Do not submit protected health information or patient-identifying information unless you have confirmed that your use is lawful, properly authorized, permitted by all applicable consents and agreements, and expressly covered by a separate written agreement signed by MagicPub. A checkbox, account signup, support email, website statement, purchase, or general subscription does not create a HIPAA business associate agreement or similar regulated-data agreement.
If you submit de-identified, anonymized, pseudonymized, aggregated, redacted, masked, synthetic, or limited data, you are responsible for ensuring that the data is actually treated as such under applicable law and cannot reasonably identify individuals in the context in which it is used.
MagicPub may process User Content, account data, usage data, billing metadata, support communications, generated publications, publication metadata, attachment metadata, error logs, security logs, and technical information to provide, maintain, secure, troubleshoot, support, bill for, improve, and enforce the Services, as further described in the Privacy Policy.
Generated publications and related account records may be stored in MagicPub systems, including Supabase-backed records. Uploaded files may be processed ephemerally for generation workflows, and MagicPub may retain limited metadata, status information, processing reports, warnings, or references needed to show results, enforce limits, debug issues, maintain security, and operate the Services. Actual retention behavior may depend on your plan, deletion choices, system backups, legal obligations, provider limitations, and operational needs.
User Content and related information may be transmitted to third-party providers, including authentication providers, hosting providers, storage providers, payment processors, AI model providers, search providers, citation and literature providers, analytics or logging tools, and infrastructure vendors. Those providers may process data under their own terms, policies, and controls. MagicPub is not responsible for provider outages, model changes, index changes, rate limits, or independent provider conduct except to the extent required by law.
If you submit feedback, suggestions, ratings, comments, issue reports, or ideas about the Services, you grant MagicPub a perpetual, irrevocable, worldwide, royalty-free license to use, copy, modify, publish, distribute, and otherwise exploit that feedback without restriction or compensation.
MagicPub may use de-identified, aggregated, or statistical information about usage, performance, errors, prompts, workflows, feature adoption, security events, billing events, and system behavior to operate, secure, analyze, and improve the Services, develop new features, and enforce these Terms. MagicPub will not use this clause as a hidden consent to materially different personal-data practices where applicable law requires notice or consent.
MagicPub does not claim ownership of your underlying research solely because you submit it to the Services. Any provider-specific use of User Content, including for abuse monitoring, safety, retention, or model-improvement controls, is addressed by the Privacy Policy, provider terms, applicable account settings, and any separate signed agreement.
Subject to your compliance with these Terms, MagicPub grants you the right to use, reproduce, edit, export, submit, publish, and otherwise exploit outputs generated for you through the Services for lawful research and publication purposes. This grant does not transfer ownership of MagicPub software, workflows, prompts, templates, interfaces, designs, trademarks, service marks, logos, documentation, systems, or other MagicPub technology.
You acknowledge that AI-generated output may not be unique and that similar or identical output may be generated for other users. MagicPub makes no representation that any output is protectable by copyright, patent, trade secret, or other intellectual-property right, or that use of any output will not infringe rights of third parties.
You are responsible for obtaining all coauthor, contributor, institution, sponsor, funder, journal, publisher, patient, data-owner, image-owner, dataset-owner, and third-party rights needed to use any input or output. MagicPub is not responsible for publication decisions, peer-review outcomes, retractions, corrections, expressions of concern, institutional investigations, sponsor disputes, regulatory inquiries, or reputational consequences.
MagicPub and its licensors own all rights, title, and interest in and to the Services, including software, source code, object code, APIs, user interfaces, design systems, workflows, generation pipelines, prompts, prompt-engineering patterns, templates, documentation, trademarks, logos, brand assets, analytics, system outputs used internally, and all improvements and derivative works of the foregoing.
You may not copy, modify, adapt, translate, reverse engineer, decompile, disassemble, scrape, crawl, benchmark for competitive purposes, build a competing service from, resell, sublicense, frame, mirror, bypass technical restrictions in, or otherwise exploit any part of the Services except as expressly permitted by these Terms or a separate signed agreement.
All rights not expressly granted to you are reserved by MagicPub and its licensors. No license is granted by implication, estoppel, exhaustion, or otherwise.
You are responsible for maintaining accurate account information, safeguarding credentials, controlling access to your devices and sessions, and all activity under your account. You must notify MagicPub promptly if you suspect unauthorized access, credential compromise, security incidents, or misuse of your account.
You may not share, sell, rent, transfer, sublicense, or pool account credentials unless a plan or separate written agreement expressly permits it. Organizations are responsible for account administration, user access, offboarding, and ensuring that their authorized users comply with these Terms.
MagicPub may require authentication, email verification, payment verification, abuse checks, rate-limit checks, security checks, or other safeguards before allowing access to some features. MagicPub may suspend or limit access if we reasonably believe an account is compromised, abusive, risky, fraudulent, unlawful, or in violation of these Terms.
You must use the Services only for lawful, authorized, and ethical purposes. Without limiting other restrictions, you may not use the Services to:
MagicPub may offer free plans, paid subscriptions, free trials, launch promotions, coupons, credits, limited-time offers, referral rewards, and other pricing arrangements. Plan names, features, quotas, usage limits, prices, renewal terms, and promotional terms are shown at checkout, in product notices, or in separate written agreements and may change over time.
Paid subscriptions are processed through Stripe or another payment processor. By starting a paid plan or trial that requires a payment method, you authorize MagicPub and its payment processors to charge recurring fees, usage-based fees, taxes, and other amounts associated with your selected plan until you cancel or the plan otherwise ends. Payment processors, not MagicPub, may store payment credentials.
Unless checkout or a signed agreement says otherwise, subscriptions renew automatically, trials convert to paid subscriptions at the end of the trial, coupons apply only as stated, failed payments may result in downgrade or suspension, and cancellation takes effect at the end of the then-current billing period. Fees are non-refundable and non-prorated except where required by law or expressly stated in writing by MagicPub.
You are responsible for all taxes, duties, levies, withholding, bank fees, foreign-exchange charges, and similar governmental or payment-provider charges, excluding taxes on MagicPub income. MagicPub may change prices or plan packaging with reasonable notice where required by law.
Feature access may be limited by plan, quota, rate limit, token budget, file limit, file type, file size, attachment count, storage limit, concurrent request limit, monthly allotment, fair-use rule, provider capacity, or abuse-prevention rule. MagicPub may enforce those limits technically, contractually, operationally, or manually.
Any "unlimited" or similar feature is subject to reasonable fair-use limits, technical limits, provider limits, anti-abuse limits, and restrictions designed to protect reliability, security, cost predictability, and other users. Unlimited does not mean infinite, automated, abusive, resale, bulk, credential-sharing, scraping, or workload-shifting use.
MagicPub may throttle, queue, delay, reject, downgrade, suspend, or require upgrade for usage that is excessive, automated, abusive, risky, unlawful, harmful, outside normal interactive use, or inconsistent with the plan purchased.
Referral programs, rewards, credits, coupons, launch promotions, free-until dates, trialing entitlements, and similar offers are promotional programs, not vested rights. Eligibility, reward amount, duration, stacking, expiration, redemption, fraud checks, paid-conversion requirements, claim windows, self-referral rules, and other details may be described in product notices and may change or end at any time.
MagicPub may deny, reverse, expire, cancel, withhold, or reclaim rewards, credits, discounts, or promotional benefits if we believe there has been fraud, abuse, gaming, self-referral, duplicate accounts, payment failure, chargeback, cancellation, policy violation, technical error, or any activity inconsistent with the purpose of the program.
Promotions have no cash value, are non-transferable unless expressly stated, may not be sold, may not be combined unless expressly permitted, and may be subject to additional restrictions required by law, payment processors, or provider rules.
The Services may depend on third-party services, including Supabase, Stripe, AI model providers, AWS or cloud providers, OpenAI, Anthropic, Exa, PubMed, NCBI, Crossref, browser or device vendors, email providers, analytics providers, hosting providers, and other integrations. MagicPub does not control third-party services, data sources, indexes, content, uptime, model weights, moderation systems, policies, or terms.
Third-party services may fail, change, suspend access, impose rate limits, remove content, return incomplete results, produce incorrect results, change pricing, change terms, or experience outages. MagicPub is not liable for third-party services except to the extent required by law.
Links, references, citations, PMIDs, DOIs, abstracts, journal names, metadata, and search results are provided for convenience and must be independently verified against authoritative sources before use.
MagicPub aims to provide a useful and reliable service, but the Services may be unavailable, degraded, delayed, interrupted, or discontinued due to maintenance, provider outages, network issues, security incidents, force majeure events, product changes, excessive load, billing problems, account issues, or other causes.
MagicPub does not guarantee uninterrupted access, error-free operation, permanent storage, recovery of deleted content, preservation of drafts, or compatibility with every browser, device, network, file type, journal format, or workflow. You are responsible for maintaining independent backups of important inputs, outputs, manuscripts, data, and records.
No online service can be made perfectly secure. You are responsible for using appropriate security practices, de-identifying sensitive materials, limiting uploads, reviewing access permissions, and promptly reporting suspected security issues.
You may delete publications or request account deletion through available product features or by contacting MagicPub support if a self-service option is not available. Deletion may not immediately remove all copies from backups, logs, caches, provider systems, billing records, legal records, security records, or systems where retention is required or permitted by law.
MagicPub may suspend, limit, downgrade, or terminate access immediately if we believe you have violated these Terms, created legal or security risk, infringed third-party rights, failed to pay, abused a promotion, misused referrals, compromised security, violated provider rules, or used the Services in a way that could harm MagicPub, providers, users, research subjects, patients, journals, institutions, or the public.
Upon termination, your right to access the Services stops immediately. Sections that by their nature should survive termination, including intellectual-property, payment, warranty disclaimer, limitation-of-liability, indemnity, dispute-resolution, confidentiality, retention, and general legal provisions, will survive.
You may not use the Services to infringe copyrights, trademarks, trade secrets, publicity rights, privacy rights, database rights, contractual rights, or other rights. You are responsible for ensuring you have permission to upload, process, transform, or publish third-party materials.
If you believe content on or generated through the Services infringes your rights, contact MagicPub with enough information to identify the allegedly infringing material, your contact information, your rights, and the action requested. MagicPub may remove or disable content, suspend accounts, or take other action in appropriate circumstances.
MagicPub names, logos, visual identity, and product names may not be used without permission except as allowed by law.
If you receive non-public information from MagicPub that is marked confidential or should reasonably be understood as confidential, you must use it only for the purpose for which it was disclosed and protect it with reasonable care. This does not limit information that is already public, independently developed, lawfully received from another source, or required to be disclosed by law.
You may not issue press releases, public statements, case studies, endorsements, or other publicity implying MagicPub approval, partnership, sponsorship, certification, publication acceptance, clinical endorsement, or institutional endorsement without MagicPub written permission.
You must comply with all applicable export-control, sanctions, anti-corruption, anti-bribery, anti-money-laundering, procurement, and trade-compliance laws. You may not use the Services in embargoed jurisdictions, for prohibited end uses, by prohibited end users, or in any way that would cause MagicPub or its providers to violate law.
If you are a government user, your use is subject to the same commercial license rights and restrictions described in these Terms unless a separate written government contract signed by MagicPub says otherwise.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, OUTPUTS, THIRD-PARTY SERVICES, BETA FEATURES, FREE FEATURES, TRIALS, PROMOTIONS, REFERRALS, CREDITS, DOCUMENTATION, SUPPORT, AND ALL RELATED MATERIALS ARE PROVIDED "AS IS", "AS AVAILABLE", AND "WITH ALL FAULTS".
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAGICPUB DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, SECURITY, QUIET ENJOYMENT, COURSE OF DEALING, COURSE OF PERFORMANCE, AND USAGE OF TRADE.
MAGICPUB DOES NOT WARRANT THAT OUTPUTS WILL BE ACCURATE, COMPLETE, ORIGINAL, NON-INFRINGING, ACCEPTED FOR PUBLICATION, COMPLIANT WITH JOURNAL POLICIES, CLINICALLY APPROPRIATE, STATISTICALLY VALID, ETHICALLY SUFFICIENT, OR SUITABLE FOR ANY PARTICULAR USE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAGICPUB AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, PROVIDERS, PROCESSORS, SUPPLIERS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, PUNITIVE, OR LOST-PROFIT DAMAGES; LOST REVENUE; LOST BUSINESS; LOST DATA; DATA CORRUPTION; SERVICE INTERRUPTION; SUBSTITUTE SERVICES; REPUTATIONAL HARM; PUBLICATION REJECTION; RETRACTION; CORRECTION; INVESTIGATION; CLINICAL, RESEARCH, REGULATORY, OR PROFESSIONAL CONSEQUENCES; OR DAMAGES ARISING FROM AI OUTPUTS, CITATIONS, USER CONTENT, THIRD-PARTY SERVICES, OR YOUR USE OF OR INABILITY TO USE THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAGICPUB TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO MAGICPUB FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) USD $100.
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF LEGAL THEORY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND EVEN IF MAGICPUB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some jurisdictions do not allow some exclusions or limitations, so the limitations apply only to the maximum extent permitted by law.
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless MagicPub and its affiliates, officers, directors, employees, contractors, licensors, providers, processors, suppliers, and agents from and against any claims, demands, actions, investigations, liabilities, damages, losses, costs, and expenses, including reasonable attorneys fees, arising out of or related to:
PLEASE READ THIS SECTION CAREFULLY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND MAGICPUB AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, REPRESENTATIVE, COLLECTIVE, PRIVATE ATTORNEY GENERAL, OR MASS ACTION.
Before either party starts a formal proceeding, the party must send a written notice describing the dispute and allow 30 days for good-faith informal resolution. Notices to MagicPub must be sent to the contact address in these Terms unless MagicPub designates another legal notice address.
Except for disputes that qualify for small-claims court, claims for injunctive or equitable relief relating to intellectual property or unauthorized access, or claims that cannot be arbitrated under applicable law, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules. The arbitrator may award relief only individually and only to the extent necessary to resolve your individual claim.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND MAGICPUB WAIVE ANY RIGHT TO A JURY TRIAL. If any part of this dispute-resolution section is found unenforceable, the unenforceable part will be severed and the rest will remain in effect to the maximum extent permitted by law.
These Terms and any disputes relating to them or the Services are governed by applicable United States federal law and, to the extent state law applies, the laws of the State of California, without regard to conflicts-of-law rules, unless mandatory law requires otherwise or a separate signed agreement specifies a different governing law.
Nothing in these Terms limits any non-waivable rights you may have under consumer-protection, privacy, employment, data-protection, or other mandatory laws that apply to you.
These Terms, together with documents incorporated by reference, are the entire agreement between you and MagicPub regarding the Services and supersede prior or contemporaneous understandings on that subject. If a signed written agreement conflicts with these Terms, the signed written agreement controls only for the conflict and only for the parties to that agreement.
You may not assign or transfer these Terms or your account without MagicPub prior written consent. MagicPub may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, corporate transaction, or by operation of law.
If any provision is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver. Headings are for convenience only. The words "including" and "such as" mean "including without limitation".
MagicPub is not responsible for delay or failure caused by events beyond reasonable control, including provider outages, model outages, hosting failures, labor disputes, internet failures, power failures, natural disasters, war, terrorism, civil unrest, epidemics, government actions, legal changes, sanctions, payment-network issues, or other force majeure events.
